Affle to acquire Perion for $420 million all-cash

Affle is acquiring Perion in an all-cash deal valued at approximately $420 million, paying $11.70 per share and taking the adtech firm into its fold, with closing expected in early 2027.

The definitive merger agreement, unanimously approved by Perion’s board, will make Perion a wholly owned subsidiary of Affle 3iL Ltd. Perion will continue to operate under its own brand. The purchase price represents a 34.5% premium to Perion’s closing share price on October 30, 2026, the last trading day before signing.

01 · A go-shop keeps the door open

Perion has a 40-day go-shop window, expiring December 11, 2026 in Israel, to actively solicit alternative proposals. That is a notable governance signal: the board approved the Affle offer, but it is still allowed to see whether a better bid emerges.

Financing is not a closing condition, with debt financing provided by Citibank, N.A. As of September 30, 2026, Perion held $228.3 million in cash, deposits and marketable securities, and used $26.0 million on buybacks and $10.9 million on the PRN acquisition in Q3.

02 · Why CMOs should care

This is not only an investor story. Perion brings retail media, CTV and DOOH assets; Affle brings mobile advertising and AI-led consumer platform capabilities. The combined stack aims at omnichannel measurement and conversion, especially in e-commerce, retail and healthcare.

For brand marketers, that makes a vendor concentration check timely:

  • Map which adtech partners control your identity, measurement and media execution.
  • Ask how a merged roadmap affects your data, pricing and service-level agreements.
  • Use the go-shop period as a natural review window before signing long-term platform commitments.

Anuj Khanna Sohum, Affle’s Chairperson, MD and CEO, described the move as bringing together “highly complementing tech capabilities, innovation culture and unique IP to global scale.” Tal Jacobson, CEO of Perion, framed the merger as a milestone for executing Perion One and its Outmax AI agent across channels.

03 · What to watch

The transaction needs Perion shareholder approval and antitrust clearance under the Hart-Scott-Rodino Act. If it closes in early 2027, Perion shares will delist from Nasdaq and the Tel Aviv Stock Exchange. Until then, the go-shop keeps an alternative bid on the table.

Marketing takeaway: Adtech consolidation is a contract negotiation trigger, not just a headline. Reopen your stack before the market closes your options.
